Agreement Between ITTRP PVT LTD and the subscriber


This Agreement ("Agreement") is between:


ITTRP PVT LTD a company registered under the laws of Govt of India, with its principal office at B3/B4 Mangalmurti Complex, Sinhagad Road, Pune, India 411 030 ("Company"), and The subscriber(doctor), Dr. ______________, a medical practitioner registered with [Medical Council or Regulatory Authority]


1. Scope of Services

    1.1 Services Provided to the Doctor

    The Company shall grant the Doctor access to its My Doctors App, a Clinic Management System (CMS), enabling them to:

  • 1.1.1 Efficiently manage appointments and scheduling.
  • 1.1.2 Set up and conduct online consultations.
  • 1.1.3 Maintain and organize patient records securely.
  • 1.1.4 Monitor fees and transaction history for better financial tracking.
  • 1.1.5 Handle both online and offline payments seamlessly.
  • 1.1.6 Generate and issue digital prescriptions for patients.
  • 1.1.7 Send automated appointment reminders to reduce no-shows.

    1.2 Patient Booking Platform

    The system provides a patient-friendly booking platform ("Platform") that facilitates seamless online appointment scheduling.


    1.3 Services Provided to the Patients

    Through the Platform, patients can:

  • 1.3.1 Book both online and offline consultations based on the Doctor’s real-time availability.
  • 1.3.2 Opt for virtual consultations for follow-ups or minor health concerns, enhancing convenience and reducing travel time.
  • 1.3.3 Make secure online payments for consultation fees via UPI, net banking, or credit/debit cards, ensuring a smooth transaction process.

    1.4 Technical Support

    The Company shall provide ongoing technical support to ensure the smooth operation of the Platform, resolving any issues promptly and maintaining system efficiency.


2. Subscription and Payment Terms

    2.1 Subscription Fee

    The Doctor agrees to pay the Company a monthly/quarterly/half-yearly/annual subscription fee of ₹1,999 , which provides access to the ITTRP’s CMS Platform and all its features, including appointment scheduling, patient record management, online consultations, digital payments, and more.

    In addition, a one-time implementation charge of ₹4,999 is applicable at the time of onboarding which covers:

  • a) Setting up your own website (Similar to the MyDoctorsAPP demo website of ITTRP)
  • b) Configuration of the website
  • c) Initial handholding and support to make the system functional.
  • Note: If the Doctor have already registered domain, ITTRP will use the same domain name for deployment of MyDoctorsAPP CMS. In not, ITTRP will help to register the domain name for your website at ITTRP’s end and the charges will be paid by doctor, at actuals.


    2.1.1 Payment Mode:
    The payment should be made to the bank details provided below:

    Note: The online payment link will be active soon on the company’s website which can be used for the payments. We will convey the link details to the Doctor.

    2.2 Payment Settlement & Transparency

    Payments shall be made on a __________ basis.


    2.3 Payment Due Date

    The subscription payment shall be due on the 5th of each billing cycle (e.g., the 5th of every month for monthly subscriptions).


    2.4 Late Payment Consequences

    In case of delayed payment, the Company reserves the right to suspend the Doctor’s access to the Platform until all outstanding dues are cleared.


3. Obligations of the Doctor

    3.1 Accuracy of Information

    The Doctor shall ensure that all information provided on the Platform, including availability, consultation fees, and practice details, is accurate and up to date.


    3.2 Compliance with Medical Laws & Standards

    The Doctor is solely responsible for ensuring full compliance with applicable medical laws, ethical guidelines, and professional standards while providing healthcare services through the Platform.


    3.3 Lawful Use of the Platform

    The Doctor shall not use the Platform for any unlawful activities, including but not limited to:

  • • Providing unauthorized or misleading medical advice.
  • • Violating patient confidentiality or data protection regulations.
  • • Engaging in any fraudulent or unethical practices.

4. Obligations of the Company

    4.1 Platform Security & Maintenance

    The Company shall ensure the security, integrity, and seamless functionality of the Platform, including regular updates and technical support.


    4.2 Non-Interference in Medical Practice

    The Company shall not interfere in the Doctor’s medical decisions, treatment plans, or professional practice, ensuring complete autonomy in patient care.


    4.3 Data Protection & Compliance

    The Company shall handle patient data with strict confidentiality and ensure compliance with applicable data protection laws, preventing unauthorized access, misuse, or breaches.



5. Confidentiality & Data Protection

    5.1 Mutual Confidentiality

    Both parties agree to maintain the confidentiality of patient information and any proprietary business data shared during the course of engagement.


    5.2 Compliance with Data Protection Laws

    The Company shall process and store patient data in strict accordance with applicable data protection laws (e.g., GDPR, HIPAA, or relevant local regulations) to ensure patient privacy and data security.


    5.3 Protection of Business Information

    The Doctor shall not disclose, share, or misuse any confidential information related to the Company, its technology, or its business operations.



6. Term and Termination

    6.1 Duration & Termination Notice

    This Agreement shall remain in effect until terminated by either party, provided that a 30-day written notice is given before termination.


    6.2 Immediate Termination by the Company

    The Company reserves the right to terminate this Agreement immediately in case of:

  • • Breach of terms outlined in this Agreement.
  • • Misuse of the Platform, including unauthorized activities.
  • • Non-payment of dues beyond the agreed timeframe.

    6.3 Consequences of Termination

    Upon termination:

  • • The Doctor’s access to the Platform shall be revoked.
  • • Any outstanding dues must be settled within 7 days from the termination date.
